Terms of Service

1. Service description

Noti consists of (a) the Noti Portal, an admin CMS where you manage outlets, devices, content, campaigns, schedules, and theme configuration, and (b) the Noti TV App, an application installed at your outlets that receives configuration and scheduled playlists to display content. Access to and use of the service is subject to these Terms and any applicable plan or order form.

2. Accounts and responsibility

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorised use. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security or legal risk.

3. Acceptable use

You agree to use the service only for lawful purposes. You must not:

• Use the service in any way that violates applicable laws or regulations
• Upload, publish, or distribute content that infringes intellectual property, is defamatory, harmful, or otherwise unlawful
• Misuse the device network or attempt to gain unauthorised access to our systems or other users’ data
• Reverse engineer, decompile, or attempt to extract the source code of the service (except as permitted by law)
• Circumvent or disable any security or access controls

We may suspend or terminate your access immediately if we reasonably believe you have breached this section, without prejudice to any other remedies.

4. Your content and our intellectual property

You retain ownership of the content you upload to the service (“Your Content”). By using the service, you grant us a non-exclusive, royalty-free licence to use, store, process, and display Your Content solely to provide and operate the service (including delivering it to your outlets and devices). We do not claim ownership of Your Content.

Noti (including the software, branding, and materials we provide) remains our intellectual property. You receive only the limited right to access and use the service in accordance with these Terms.

5. Paid plans, payment, and refunds

Paid subscription plans are subject to the pricing and billing terms presented at sign-up or in your account. Unless otherwise stated:

• Fees are billed in the currency and cycle (e.g. monthly or annually) specified in your plan.
• Subscriptions renew automatically unless you cancel before the renewal date. You may cancel through your account settings or by contacting us.
• We may change pricing with reasonable notice; continued use after the change constitutes acceptance.
• Refunds: If we offer a refund policy (e.g. within a specified period for first-time subscribers), it will be stated at purchase. Otherwise, fees are non-refundable, including for partial subscription periods.

6. Disclaimers

The service is provided “as is” and “as available”. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.

7. Limitation of liability

To the maximum extent permitted by law, our total liability to you for any claims arising out of or related to these Terms or the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim. We are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, even if we have been advised of the possibility of such damages. Some jurisdictions do not allow certain limitations; in such cases our liability will be limited to the fullest extent permitted by law.

8. Indemnity

You agree to indemnify and hold us (and our affiliates, officers, and agents) harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from (a) your use of the service, (b) Your Content, or (c) your breach of these Terms.

9. Term and termination

These Terms apply for the duration of your use of the service. You may stop using the service at any time. We may suspend or terminate your access for breach of these Terms, non-payment, or for our convenience with reasonable notice where required. Upon termination, your right to access the service ceases. We may retain and use your data as described in our Privacy Policy.

10. General

• Governing law: These Terms are governed by the laws of Malaysia, without regard to conflict of laws principles.
• Disputes: Any dispute arising from these Terms or the service shall be subject to the exclusive jurisdiction of the courts of Malaysia, unless otherwise required by law.
• Entire agreement: These Terms, together with our Privacy Policy and any order or plan terms, constitute the entire agreement between you and us regarding the service.
• Changes: We may modify these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date, or by email. Your continued use of the service after changes constitutes acceptance of the updated Terms.
